Biz Ecosystem Terms – Grab
(With effect from 1 April 2026)
These Biz Ecosystem Terms – Grab (“Terms”) set out the terms and conditions that govern the relationship between GXS Bank Pte. Ltd. (the “Bank”, “us”, “we” or “our”) and the customer (“you”) and the services, products and/or rewards that we provide to you under these Terms.
Section A (General Terms and Conditions) sets out the terms and conditions (the “General Terms”) that apply generally to the services, products and/or rewards that the Bank provides to you under these Terms.
In addition, specific terms and conditions (each referred to as “Specific Terms”, and collectively referred to as the “Specific Terms”) will apply to the provision of specific services, products and/or rewards by the Bank to you. When the Bank introduces or agrees to provide you with new services, products and/or reward, the Bank will introduce Specific Terms to these Terms that apply to the provision of the new services, products and/or rewards without giving you any advance notice. Any such Specific Terms will take effect from the date we agree to provide you with the relevant new service, product and/or reward. The Specific Terms are part of these Terms. If there is any inconsistency between the General Terms and the Specific Terms, the Specific Terms will prevail to the extent of such inconsistency.
A. General Terms and Conditions
1. Eligibility for Biz Ecosystem Terms – Grab
1.1 To be eligible for any of the services, products and rewards under these Terms, you:
- must have and maintain one or more account(s) for GXS Business Banking services and products with the bank (a “GXS Business Banking Account”); and
- meet such other requirements that the Bank may specify from time to time.
1.2 Your participation in Biz Ecosystem Terms – Grab is subject to your GXS Business Banking Account being active and in good standing (in the Bank’s sole determination).
1.3 The Bank shall have the sole discretion to determine your eligibility to participate in Biz Ecosystem Terms – Grab and shall be entitled to disqualify any person and/or account(s) eligible to participate in Biz Ecosystem Terms – Grab without reason, notice or liability to any person, and shall not be liable for any Loss that may be incurred as a result.
2. Terms and Conditions
2.1 You shall comply with the Bank’s terms and conditions, including but not limited to the Data Privacy Policy and applicable terms and conditions of GXS Business Banking (including the Business Account Terms).
2.2 In the event of any inconsistency between these Terms and any other terms and conditions of the Bank, such other terms and conditions shall prevail to the extent of such inconsistency.
2.3 In the event of any inconsistency between these Terms and any brochure, marketing or promotional material relating to the ecosystem with Grab, these Terms shall prevail.
3. Your Obligations
3.1 You represent and warrant on a continuing basis that you have the full power, authority and capacity to enter into these Terms, to enter into any transactions with or through the Bank, and to perform and comply with all your obligations under these Terms.
4. GXS Business Banking and GXS Capital
4.1 GXS Business Banking consists of products and services provided by GXS Bank and GXS Capital, which are licensed and regulated by the Monetary Authority of Singapore. GXS Capital operates under the legal entity Validus Capital Pte. Ltd., a wholly-owned subsidiary of GXS Bank. GXS Bank and GXS Capital are separate entities and are not associated with the businesses of Grab, Singtel, or their entities.
5. Grab
5.1 Under these Terms, “Grab” means GrabTaxi Holdings Pte. Ltd., or its affiliates, where applicable. Grab’s terms and conditions, including but not limited to the Grab Merchant: Terms and Conditions, as determined by Grab from time to time apply. Any other references of Grab shall each have the meaning ascribed by Grab.
5.2 The Bank is not an agent of Grab. The Bank holds a banking licence and is regulated by the Monetary Authority of Singapore. The Bank is a separate entity from Grab Holdings, the Singtel Group and their entities. The GXS Biz Account and GXS FlexiLoan Biz are provided by GXS Bank. Invoice Financing, Purchase Order Financing, Accounts Payable Financing and Working Capital Loan are provided by GXS Capital. The Bank’s terms and conditions are separate from Grab’s terms and conditions. The Bank is not responsible for the terms and conditions, or any changes to the terms and conditions, of Grab.
5.3 The GrabMerchant app is not operated by the Bank, and the availability and provision of the GrabMerchant app is dependent on Grab. The Bank is not responsible for any actions of Grab, or any non-availability of the GrabMerchant app and website.
4.4 Any issues or disputes relating to Grab, such as terms and conditions governing Grab Merchants or the fulfilment or crediting of the Grab Rewards), should be resolved directly with Grab. Issues relating to the GrabMerchant app and website, including maintenance and support issues, malfunctions, or claims relating to the GrabMerchant app and website, should be resolved directly with Grab.
6. Liabilities and Indemnities
6.1 The Bank shall not be liable for any Loss that you may incur in connection with or arising from our provision of services or products to you, unless such Loss is caused by our gross negligence, wilful misconduct or fraud.
6.2 We are not responsible or liable for the acts of any third party, including the acts of any third party involved in the provision of services or products to you, or the acts of any third party service providers, contractors or agents engaged by the Bank and their sub-contractors or further indirect sub-contractors or the insolvency or bankruptcy of any such third party, and we will not be liable for any Loss that you may incur as a result of the acts of any such third party, unless such Loss is caused by our gross negligence, wilful misconduct or fraud.
6.3 You agree, on a continuing basis, to indemnify the Bank, and pay and reimburse the Bank, for all and any Losses that the Bank may incur in connection with or arising from our provision of services or products to you, except where such Loss is caused by our gross negligence, wilful misconduct or fraud. This clause shall survive the termination of these Terms.
7. Amendments
7.1 The Bank reserves the right at its absolute discretion to add to, amend, modify or vary any or all of these Terms at any time without notice including, without limitation, the eligibility of any business and the rewards period of any Biz Ecosystem Rewards – Grab. You are deemed to accept and are bound by such variations, additions, deletions, amendments and/or modifications if you do not terminate your participation in the Biz Ecosystem Terms – Grab. The decision of the Bank on all matters relating to these Terms shall be final and binding on all participants. No correspondence or appeal shall be entertained by the Bank.
8. No Third Party Rights
8.1 A third party who is not a party to these Terms shall have no rights under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce or enjoy the benefit of any provision of these Terms.
9. Governing Law and Dispute Resolution
9.1 These Terms shall be governed by and interpreted in accordance with Singapore law. You agree to submit to the exclusive jurisdiction of the Singapore courts.
10. Definition and Interpretation
10.1 The table below sets out the meaning of the following capitalised words when used in these Terms.
“Business Account Terms” means our terms and conditions governing GXS Business Banking deposit accounts (i) set out at the following URL: https://www.gxs.com.sg/business-operatingaccount-terms, or (ii) made available through our mobile application.
“Data Privacy Policy” means our data privacy policy as (i) set out at the following URL: www.gxs.com.sg/data-privacy, or (ii) made available through our mobile application.
“Loss” means any losses, damages, costs (including legal costs on a full indemnity basis), expenses, liabilities, taxes, charges, suits, proceedings, actions, claims, any other demands or remedies of any kind, whatsoever and however caused, whether arising under contract, tort or otherwise, and including any lost profits, earnings, business, goodwill or opportunity, and any costs or expenses incurred to protect or enforce legal rights, whether or not foreseeable, and whether direct, indirect or consequential.
B. Biz Ecosystem Rewards - Grab (Grab Rewards)
This Section B (Biz Ecosystem Rewards – Grab (Grab Rewards)) sets out the terms and conditions on which you can receive Grab Rewards under the Biz Ecosystem Rewards – Grab (Grab Rewards). By participating in Biz Ecosystem Rewards – Grab (Grab Rewards), you agree to the terms under this Section B.
1. Grab Rewards Period
1.1 The Grab Rewards shall be available from 18 November 2024 until such date as determined and notified by the Bank in its sole discretion (“Grab Rewards Period”).
2. Grab Rewards (April 2026 to September 2026)
2.1 The Grab Rewards (April 2026 to September 2026) shall be available from 01 April 2026 to 30
September 2026 (both dates inclusive) or until such date as determined and notified by the
Bank in its sole discretion (“April 2026 Grab Rewards Period”).
2.2 You will be entitled to redeem one (1) reward by Grab as described below (“April 2026 Grab
Reward”), when, during the April 2026 Grab Rewards Period:
(a) you are a new or existing GXS Business Banking customer; and
(b) you are a new-to-Grab for Business (“GFB”) merchant.
2.3 The April 2026 Grab Reward comprises the following:

2.4 The total value of the April 2026 Grab Reward and its components are calculated based on the size of your business. The estimated reward value set out in the table above is based on a business with 50 employees, and is for your reference only. The final value of the April 2026 Grab Reward which you receive will depend on the size of your business at the point of onboarding on GFB.
2.5. Limited to a maximum of one (1) April 2026 Grab Reward per customer of the Bank.
2.6 The April 2026 Grab Reward is issued on a first-come-first served basis and is while stocks last.
2.7 Limited to the first 1,000 eligible GXS Business Banking customers which successfully fulfil the criteria to receive the April 2026 Grab Reward during the April 2026 Grab Rewards Period. Such customers will be notified of your April 2026 Grab Reward by the Bank to your last known email address in the Bank’s records:
(a) or existing GXS Business Banking customers, in April 2026;
(b) for new GXS Business Banking customers during the April 2026 Grab Rewards Period, within two (2) weeks of successfully becoming a GXS Business Banking customer.
3. Further Terms on Grab Rewards
3.1 Grab Rewards are issued on a first-come-first served basis and are while stocks last, unless otherwise stated.
3.2 The Grab Rewards will be fulfilled and credited by Grab, subject to the applicable terms and conditions of Grab.
3.3 Your GXS Business Banking account must be active and in good standing with the Bank until the point of fulfilment. If your GXS Business Banking account is closed prior to the redemption, crediting or fulfilment of any Grab Rewards for any reason, the Grab Rewards that has yet to be redeemed, credited or fulfilled may be forfeited notwithstanding that it was accrued under the Biz Ecosystem Rewards – Grab (Grab Rewards).
3.4 Grab Rewards is not exchangeable for cash, credit or any other items, and cannot be transferred or assigned.
3.5 The Bank reserves the right to replace, exchange, vary or substitute Grab Rewards with an item(s) of equivalent value at its sole discretion without prior notice or reason and without liability to any persons.
3.6 If the Bank at any time determines at its sole and absolute discretion that any of the requirements of the Biz Ecosystem Rewards – Grab (Grab Rewards) were not met or complied with, the Bank reserves the right to recover any or all Biz Ecosystem Rewards – Grab (Grab Rewards) (or its equivalent value) by deduction from your GXS Biz Account or any account you maintain with us.
3.7 The Bank may at any time add to, amend, modify, vary or withdraw the terms of the Biz Ecosystem Rewards – Grab (Grab Rewards).
3.8 The Biz Ecosystem Rewards – Grab (Grab Rewards) are not valid with other offers or promotions unless otherwise stated.
Deposit Insurance Scheme
Singapore dollar deposits of non-bank depositors are insured by the Singapore Deposit Insurance Corporation, for up to S$100,000 in aggregate per depositor per Scheme member by law. Foreign currency deposits, dual currency investments, structured deposits and other investment products are not insured.
